1. Acceptance of Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and Grove Regeneration, a DBA of DreamLabsCA, LLC, a California limited liability company (“Grove,” “we,” “us,” or “our”), governing your use of the Grove mobile application, website, and related services (collectively, the “Service”).

By downloading, installing, accessing, or using the Service, creating an account, or connecting your payment methods, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

We reserve the right to modify these Terms at any time. We will notify you of material changes via email at the address associated with your account. Your continued use of the Service after such modifications constitutes your acceptance of the updated Terms.

2. Eligibility

To use the Service, you must:

• Be at least 18 years of age
• Be a resident of the United States
• Have the legal capacity to enter into binding agreements
• Possess a valid U.S. bank account and payment card
• Provide accurate and complete registration information

By using the Service, you represent and warrant that you meet all eligibility requirements.

3. Service Description

3.1 Overview

Grove provides an automated micro-donation platform that:

• Rounds up your everyday payment card transactions to the nearest dollar
• Accumulates these round-up amounts until reaching a $5.00 threshold
• Automatically processes donations to plant trees through our reforestation partner
• Tracks and reports your environmental impact

3.2 Nature of Service

Grove operates as a for-profit merchant platform. We retain a commission from transactions to cover operational costs, technology infrastructure, and service improvements. The remainder of funds is directed to our reforestation partner, Veritree.

3.3 No Tax Deduction

Payments made through Grove are not tax-deductible charitable contributions. Grove Regeneration is a for-profit entity, not a 501(c)(3) charitable organization.

4. Account Registration and Security

4.1 Account Creation

To create an account, you must:

• Provide a valid phone number for verification
• Complete SMS verification
• Provide your full legal name
• Provide your date of birth
• Connect at least one valid payment card through our integration partner Plaid

4.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities occurring under your account
• Immediately notifying us of any unauthorized account use
• Ensuring your account information remains accurate and current

4.3 Prohibited Account Activities

You may not:

• Create multiple accounts
• Share or transfer your account
• Use false or misleading information
• Impersonate another person or entity

5. Payment Terms

5.1 Payment Authorization

By connecting your payment cards, you authorize Grove to:

• Access transaction data through Plaid
• Calculate round-up amounts for eligible transactions
• Initiate ACH transfers via Stripe when accumulated round-ups reach $5.00
• Process these transfers automatically without additional authorization

5.2 Payment Processing

• Round-ups accumulate in a virtual balance until reaching $5.00
• Upon reaching the threshold, an automatic ACH transfer is initiated
• Grove absorbs all payment processing fees
• You may pause round-ups at any time through the Service
• Pausing affects future transactions only; accumulated amounts will still be processed

5.3 Failed Payments

If a payment fails:

• We will notify you via the app and email
• You may retry the payment or update your payment method
• Failed payments will be marked as “incomplete” until successfully processed
• We reserve the right to suspend your account for repeated payment failures

5.4 No Refunds

All successfully processed transactions are final and non-refundable. Once funds have been committed to tree planting through our partner, they cannot be reversed.

6. Privacy and Data Security

6.1 Data Collection and Use

Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

6.2 Financial Data Security

We implement industry-standard security measures including:

• 256-bit encryption for data transmission
• Secure integration with Plaid for bank connections
• PCI-compliant payment processing through Stripe
• Regular security audits and updates

6.3 Third-Party Services

By using Grove, you acknowledge that:

• Plaid’s Terms and Privacy Policy apply to bank connections
• Stripe’s Terms apply to payment processing
• Data may be shared with our reforestation partner for impact tracking

7. Intellectual Property

7.1 Grove Property

All content, features, and functionality of the Service, including but not limited to text, graphics, logos, and software, are the exclusive property of Grove Regeneration or its licensors and are protected by intellectual property laws.

7.2 User Content

By sharing content through the Service (including photos, reviews, or social media posts), you grant Grove a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and distribute such content for marketing, promotional, and operational purposes.

7.3 Aggregate Data

We may use anonymized and aggregated user statistics for marketing, research, and service improvement without additional compensation to users.

8. Prohibited Uses

You agree not to:

• Use the Service for illegal purposes or to facilitate illegal activities
• Engage in fraud, money laundering, or financial crimes
• Manipulate or abuse the round-up system
• Attempt to gain unauthorized access to our systems
• Reverse engineer or decompile any aspect of the Service
• Use automated systems or software to extract data
• Violate any applicable laws or regulations
• Interfere with or disrupt the Service
• Create derivative works based on the Service

9. Disclaimers

9.1 Service Availability

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND. We do not guarantee uninterrupted or error-free service.

9.2 Environmental Impact

While we partner with Veritree, a reputable reforestation organization, we cannot guarantee:

• The specific location where trees will be planted
• The survival rate of planted trees
• The exact environmental impact of your contributions
• The timeline for tree planting after payment

9.3 Third-Party Dependencies

We are not liable for:

• Actions or omissions of our reforestation partner
• Service interruptions from payment processors
• Changes to third-party terms or availability
• Bank or payment card restrictions on transactions

10. Limitation of Liability

10.1 Limited Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GROVE’S TOTAL LIABILITY FOR ANY CLAIMS UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT OF ROUND-UPS PROCESSED FROM YOUR ACCOUNT IN THE 12 MONTHS PRECEDING THE CLAIM.

10.2 No Consequential Damages

IN NO EVENT SHALL GROVE BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR USE.

10.3 Force Majeure

Grove is not liable for failures or delays in performance resulting from circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.

11. Indemnification

You agree to indemnify, defend, and hold harmless Grove Regeneration, DreamLabsCA, LLC, and their officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising from:

• Your violation of these Terms
• Your violation of any rights of another party
• Your use or misuse of the Service
• Your violation of any applicable laws

12. Termination

12.1 Termination by You

You may terminate your account at any time through the app settings or by contacting support. Upon termination:

• Pending round-ups will be cancelled
• Accumulated amounts below $5.00 will be forfeited
• Amounts at or above $5.00 will be processed as final transactions

12.2 Termination by Grove

We reserve the right to suspend or terminate your account immediately for:

• Violation of these Terms
• Suspected fraudulent activity
• Extended payment failures
• As required by law

12.3 Effects of Termination

Upon termination:

• Your access to the Service will cease
• We may retain certain data as required by law
• Sections of these Terms that by their nature should survive termination shall remain in effect

13. Data Retention

Following account termination, we will:

• Retain transaction records for 7 years for legal and tax compliance
• Delete personal information within 90 days unless longer retention is required by law
• Maintain anonymized aggregate data indefinitely for analytics

14. Dispute Resolution

14.1 Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles.

14.2 Mandatory Arbitration

Any dispute arising from these Terms or your use of the Service shall be resolved through binding arbitration conducted by the American Arbitration Association under its Consumer Arbitration Rules.

14.3 Class Action Waiver

YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION AGAINST GROVE.

14.4 Small Claims Exception

Notwithstanding the above, either party may bring individual claims in small claims court if the claims qualify.

14.5 Venue

Any legal proceedings not subject to arbitration shall be brought exclusively in the courts of California.

15. Communications

15.1 Electronic Communications

By using the Service, you consent to receive electronic communications from us, including:

• Service-related announcements
• Terms and policy updates
• Transaction confirmations
• Marketing communications (with opt-out option)

15.2 Notification Methods

We will communicate with you via:

• Email address associated with your account
• Push notifications (if enabled)
• In-app notifications

16. General Provisions

16.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Grove regarding the Service.

16.2 Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions shall continue in full force and effect.

16.3 No Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

16.4 Assignment

You may not assign or transfer these Terms or your rights under them. Grove may assign these Terms without restriction.

16.5 Headings

Section headings are for convenience only and do not affect the interpretation of these Terms.
