These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Grove Regeneration, a DBA of DreamLabsCA, LLC, a California limited liability company ("Grove," "we," "us," or "our"), governing your use of the Grove mobile application, website, and related services (collectively, the "Service").By downloading, installing, accessing, or using the Service, creating an account, or connecting your payment methods, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.We reserve the right to modify these Terms at any time. We will notify you of material changes via email at the address associated with your account. Your continued use of the Service after such modifications constitutes your acceptance of the updated Terms.2. ELIGIBILITYTo use the Service, you must:Be at least 18 years of ageBe a resident of the United StatesHave the legal capacity to enter into binding agreementsPossess a valid U.S. bank account and payment cardProvide accurate and complete registration informationBy using the Service, you represent and warrant that you meet all eligibility requirements.3. SERVICE DESCRIPTION3.1 OverviewGrove provides an automated micro-donation platform that:Rounds up your everyday payment card transactions to the nearest dollarAccumulates these round-up amounts until reaching a $5.00 thresholdAutomatically processes donations to plant trees through our reforestation partnerTracks and reports your environmental impact3.2 Nature of ServiceGrove operates as a for-profit merchant platform. We retain a commission from transactions to cover operational costs, technology infrastructure, and service improvements. The remainder of funds is directed to our reforestation partner, Veritree.3.3 No Tax DeductionPayments made through Grove are not tax-deductible charitable contributions. Grove Regeneration is a for-profit entity, not a 501(c)(3) charitable organization.4. ACCOUNT REGISTRATION AND SECURITY4.1 Account CreationTo create an account, you must:Provide a valid phone number for verificationComplete SMS verificationProvide your full legal nameProvide your date of birthConnect at least one valid payment card through our integration partner Plaid4.2 Account SecurityYou are responsible for:Maintaining the confidentiality of your account credentialsAll activities occurring under your accountImmediately notifying us of any unauthorized account useEnsuring your account information remains accurate and current4.3 Prohibited Account ActivitiesYou may not:Create multiple accountsShare or transfer your accountUse false or misleading informationImpersonate another person or entity5. PAYMENT TERMS5.1 Payment AuthorizationBy connecting your payment cards, you authorize Grove to:Access transaction data through PlaidCalculate round-up amounts for eligible transactionsInitiate ACH transfers via Stripe when accumulated round-ups reach $5.00Process these transfers automatically without additional authorization5.2 Payment ProcessingRound-ups accumulate in a virtual balance until reaching $5.00Upon reaching the threshold, an automatic ACH transfer is initiatedGrove absorbs all payment processing feesYou may pause round-ups at any time through the ServicePausing affects future transactions only; accumulated amounts will still be processed5.3 Failed PaymentsIf a payment fails:We will notify you via the app and emailYou may retry the payment or update your payment methodFailed payments will be marked as "incomplete" until successfully processedWe reserve the right to suspend your account for repeated payment failures5.4 No RefundsAll successfully processed transactions are final and non-refundable. Once funds have been committed to tree planting through our partner, they cannot be reversed.6. PRIVACY AND DATA SECURITY6.1 Data Collection and UseOur collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.6.2 Financial Data SecurityWe implement industry-standard security measures including:256-bit encryption for data transmissionSecure integration with Plaid for bank connectionsPCI-compliant payment processing through StripeRegular security audits and updates6.3 Third-Party ServicesBy using Grove, you acknowledge that:Plaid's Terms and Privacy Policy apply to bank connectionsStripe's Terms apply to payment processingData may be shared with our reforestation partner for impact tracking7. INTELLECTUAL PROPERTY7.1 Grove PropertyAll content, features, and functionality of the Service, including but not limited to text, graphics, logos, and software, are the exclusive property of Grove Regeneration or its licensors and are protected by intellectual property laws.7.2 User ContentBy sharing content through the Service (including photos, reviews, or social media posts), you grant Grove a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and distribute such content for marketing, promotional, and operational purposes.7.3 Aggregate DataWe may use anonymized and aggregated user statistics for marketing, research, and service improvement without additional compensation to users.8. PROHIBITED USESYou agree not to:Use the Service for illegal purposes or to facilitate illegal activitiesEngage in fraud, money laundering, or financial crimesManipulate or abuse the round-up systemAttempt to gain unauthorized access to our systemsReverse engineer or decompile any aspect of the ServiceUse automated systems or software to extract dataViolate any applicable laws or regulationsInterfere with or disrupt the ServiceCreate derivative works based on the Service9. DISCLAIMERS9.1 Service AvailabilityTHE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. We do not guarantee uninterrupted or error-free service.9.2 Environmental ImpactWhile we partner with Veritree, a reputable reforestation organization, we cannot guarantee:The specific location where trees will be plantedThe survival rate of planted treesThe exact environmental impact of your contributionsThe timeline for tree planting after payment9.3 Third-Party DependenciesWe are not liable for:Actions or omissions of our reforestation partnerService interruptions from payment processorsChanges to third-party terms or availabilityBank or payment card restrictions on transactions10. LIMITATION OF LIABILITY10.1 Limited LiabilityTO THE MAXIMUM EXTENT PERMITTED BY LAW, GROVE'S TOTAL LIABILITY FOR ANY CLAIMS UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT OF ROUND-UPS PROCESSED FROM YOUR ACCOUNT IN THE 12 MONTHS PRECEDING THE CLAIM.10.2 No Consequential DamagesIN NO EVENT SHALL GROVE BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR USE.10.3 Force MajeureGrove is not liable for failures or delays in performance resulting from circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.11. INDEMNIFICATIONYou agree to indemnify, defend, and hold harmless Grove Regeneration, DreamLabsCA, LLC, and their officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising from:Your violation of these TermsYour violation of any rights of another partyYour use or misuse of the ServiceYour violation of any applicable laws12. TERMINATION12.1 Termination by YouYou may terminate your account at any time through the app settings or by contacting support. Upon termination:Pending round-ups will be cancelledAccumulated amounts below $5.00 will be forfeitedAmounts at or above $5.00 will be processed as final transactions12.2 Termination by GroveWe reserve the right to suspend or terminate your account immediately for:Violation of these TermsSuspected fraudulent activityExtended payment failuresAs required by law12.3 Effects of TerminationUpon termination:Your access to the Service will ceaseWe may retain certain data as required by lawSections of these Terms that by their nature should survive termination shall remain in effect13. DATA RETENTIONFollowing account termination, we will:Retain transaction records for 7 years for legal and tax complianceDelete personal information within 90 days unless longer retention is required by lawMaintain anonymized aggregate data indefinitely for analytics14. DISPUTE RESOLUTION14.1 Governing LawThese Terms are governed by the laws of the State of California, without regard to conflict of law principles.14.2 Mandatory ArbitrationAny dispute arising from these Terms or your use of the Service shall be resolved through binding arbitration conducted by the American Arbitration Association under its Consumer Arbitration Rules.14.3 Class Action WaiverYOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION AGAINST GROVE.14.4 Small Claims ExceptionNotwithstanding the above, either party may bring individual claims in small claims court if the claims qualify.14.5 VenueAny legal proceedings not subject to arbitration shall be brought exclusively in the courts of California.15. COMMUNICATIONS15.1 Electronic CommunicationsBy using the Service, you consent to receive electronic communications from us, including:Service-related announcementsTerms and policy updatesTransaction confirmationsMarketing communications (with opt-out option)15.2 Notification MethodsWe will communicate with you via:Email address associated with your accountPush notifications (if enabled)In-app notifications16. GENERAL PROVISIONS16.1 Entire AgreementThese Terms, together with our Privacy Policy, constitute the entire agreement between you and Grove regarding the Service.16.2 SeverabilityIf any provision of these Terms is found invalid or unenforceable, the remaining provisions shall continue in full force and effect.16.3 No WaiverOur failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.16.4 AssignmentYou may not assign or transfer these Terms or your rights under them.
